  • This role is with a leading retail furniture group
    The role holds a strategic position at the heart of governance operations within the Group, responsible for the company secretarial function, maintaining high standards of corporate governance and for providing legal advice and related services to the Group.
    The role is accountable to the board of directors. For day to day management matters, the role reports to the CEO and works closely with the CFO.
    Company Secretary responsibilities incl:
    Provide guidance to the board on their duties, responsibilities and powers, and on laws relevant to the group
    Ensure compliance with all statutory regulations and best corporate governance requirements
    Keep under review all legislative, regulatory and governance requirements that might affect the group and decision-making
    Prepare notices of meetings, agendas, and board and committee packs for distribution
    Responsible for the lawful convening and conduct of annual general meetings and other meetings
    Prepare minutes and draft resolutions for shareholder, board and committee meetings for group companies and share trust
    Responsibility for all SENS announcements
    Facilitating director induction and professional development programs
    Maintaining statutory registers and records, including the register of members
    Complete and submit all required secretarial forms, returns and notices to CIPRO, the FSB, and other regulators
    Regularly review charters and group policies to ensure compliance with best practice
    Ensure compliance with legislation, including the Companies Act, the JSE Listings Requirements, and King Code
    Ensure that the annual report and AFS, and their dissemination, comply with statutory requirements and the MOI
    Managing the inspection of company records by those entitled to do so
    Liaise with foreign company secretaries/public officers to ensure compliance in all countries in which the group operates
    Head of Legal responsibilities incl:
    Provide proactive, business-focused legal advice on matters affecting the Group
    Provide regulatory advice, especially in regard to the National Credit Act, the Consumer Protection Act and insurance legislation
    Contribute to business strategy and decision-making processes alongside other departmental leaders
    Work closely with Group’s risk management, compliance and credit risk functions to ensure Group compliance and to efficiently identify and deal with risks affecting the business
    Draft/review company commercial agreements to best protect the Group
    Review company contractual documentation for on-going regulatory compliance, best practice, and protection of the Group
    Negotiate with company suppliers and service providers where required
    Monitor regulatory landscape and keep company abreast of relevant legal developments to ensure proper and timeous compliance
    Critically assess draft legislation and draft comments/submissions where necessary
    Review company’s training materials on legal issues affecting different aspects of the business
    Liaise with the Group’s regulators in consultation with senior management, creating relationships of trust
    Represent the company at industry associations, where required
    Oversee the company’s response to certain customer complaint matters referred to regulators
    Assist with drafting and reviewing internal policies
    Assume responsibility for the management of any litigation instituted by or against the company
    Build relationships with and liaise with external legal counsel when required
    Knowledge/Experience & Qualifications:
    LLB and admitted attorney
    At least 10 years post-qualification experience in a law firm or corporate legal environment
    Experience in a company secretarial role, preferably for a listed entity
    Chartered secretary qualification highly advantageous
    Demonstrable experience in credit, consumer and insurance law highly advantageous
    Strong commercial business acumen
    Skills and Competencies:
